TERMS & CONDITIONS

This agreement is executed herein between Unnati Goat Farming a division of ABC India trade and services Ltd. on the one hand who hereinafter be called "Unnati" and the independent unit of purchaser on the other hand who hereinafter be called as "distributor" or independent business distributor "

The Unnati is involved in the business of livestock (farm/ domestic or transactional) as a company and the term distributor is an individual or a company, who buys any product of livestock from "Unnati"

The terms and conditions of this agreement administer the business / inter course / transaction done by the distributor with the Unnati. These terms and conditions are based on the scheme of consideration which is essential in an agreement in the manner executed between an independent distributor and the Unnati as agreed upon absolute and free consent under the existing or as amended constitution of the unnati.

This agreement shall automatically be cancelled on failure or non fulfillment of any of the provisions of this instrument / deed. The distributor gives his/ her unqualified acceptance to the following terms and conditions of this agreement.

That the investment in the Unit means investment will be done in connection with the goat and the value of the unit means at the time of purchase the value/ price of the goat as decided by the Unnati.
That the investing sum of the Unit shall be on the one goat of the firm and all the management of the Goat regarding its protection, breeding, safety and maintenance shall be done by the Unnati.
That the Distributor agrees that the Unnati shall not take any sort of charges or consideration in lieu of his appointment as distributor, whosoever individual / organization / company shall purchase the live stock product from the Unnati shall automatically be the distributor and shall be deemed to be so and this shall be completely free of cost.
That the distributor shall have his / her an Independent existence and the sale and upgrading of the live stock of the Unnati shall not be binding on the distributor. The upgrading of the livestock shall be based on the desire idea and self commitment by the distributor.
That the distributor as an Independent sponsor shall carryout his leadership and obligations with the distributors of this organization through training. Inter-action, group-tour, co-operation and assimilation.
The distributor shall not create can business wrong publicity and false exaggerated facts with respect to the product and compensation of the Unnati.
That the distributor shall not directly or indirectly sponsor or cause to sponsor with another distributor of the Unnati any marketing network programme nor shall he/ she indulge into deceptive and forged acts or illegal activities and tortious acts; if it is so done by any distributor, it will be treated as on act against the Unnati.
That the distributors knowing it well accords his/her consent that as a distributor he/she shall himself / herself be responsible for all the financial / legal actions done by him/her and shall carry out and complete all the imposed duties.
That the distributor is also aware of and knows well that his status is only of a distributor in the business transaction and he/she shall not be treated as a partner explicitly or impliedly in the business and functioning of the Unnati.
That in any circumstance / position the distributor shall not neglect or violate the sanctity of the nomenclature and prestige of the Unnati nor shall he/she submit such posture due to which any information confidential in nature or relating to the title /patent of business secrets ( including names and address of the distributors ) shall use for his / her personal assignment or misuse the same.
That all the distributors are authorised for sale of the product of Unnati and all are included in the compensatory sums of Unnati. All the distributor of the Unnati are also authorised to sponsor new distributors as their co-businessmen in those countries where the company is authorisedly in position.
That the distributor shall be of valid age in the territory of his / her country , state and locate. While introducing any other distributor he/she should see and verify that the incumbent is a competent person in age and is not a minor. It a minor is introduced as independent distributor the sole responsibility of his actions shall be of the sponsoring distributor.
That the partnership firms, corporations, trusts with limited obligations can only be made distributors, when they submit the certified copies of the concerned organisation, state or department and / or are ready and willing to accept the proposal for work under the terms and conditions of the Unnati.
That no person individually or otherwise with the fraudulent or fictitious name or on the basis of acquaintance of others is qualified for submitting an application for a distributor. Such person shall not be included in category of the distributors of the company until he/ she encloses valid identity card compulsorily.
That the company ABC India trade & services Ltd. reserves all the valid rights to alter or amend partially or fully in the their terms and conditions without prior notices. The updated terms and conditions can be seen on the website of ABC India trade and services Ltd.
That the company do not give consent to the distributor for sale or transfer the distributorship.
That for publicity and advertisement on any medium e.g. print (news paper dailies, weelklies or fortnightlies. ). Electronic media (Radio, T.V. Internet etc.). the prescribed and approved materials by ABC India trade and services Ltd. Can only be used. No body can use or shall be allowed to use without written permission the businessname, trademark, copyright or any material of ABC India trade and services Ltd. or any sponsored advertisement notes etc. by ABC India trade and services Ltd. which is meant for business carrying out by the company with different names viz. Unnati Goat Farming which is a commercial branch / division of the ABC India trade & services Ltd.
That the distributor shall not introduce himself / herself for recruitment or membership in the company for any other reason or shall not obtain commission, cheque or other things and he/she shall not influence any body in deceitful manner.
That violation or breach of any of the policies procedures of the Unnati division of ABC India trade and services Ltd. would be sufficient ground for the forfeiture of rights or termination of his/her contract. The Unnati reserves their right to detain or forfeiture of any sum payable to the distributor for the losses of any sort caused due to the violation of any prescribed terms in the distributionship agreement by the distributor.
That the executive director, employees and distributors shall be immuned from the liability for the claims arising out of profit, loss, consequences etc., loss due to negligence in the business transaction of Unnati or other matters related to the distributor and breach of faith, may be of contractual or absolute liability, upto this date.
That the distributor agrees that he/she shall not be eligible for any kind of monetary profit/payment in any circumstances for the purchase unit of his/her goats before its maturity and surrender, if the distributor makes any sort of demand then it would be treated as the violation of rights accrued to the distributor in the terms and conditions in context of the goat and consequently the sum is liable to be or the unit shall be forfeited and the distributor shall not be entitled for any kind of claims against the Unnati division.
That the Distributor declares that he/she made investments in the unit of goats with the Unnati Division of the company without any undue influence, fraud, false promise or misrepresentation.
That the territorial jurisdiction for settlement arbitration of all the disputes in the matters of claims, agreement, products, rights or obligations of the distributors or international matters between the Unnati and Distributor e.g. agreement and / or claims arising out of the product purchase etc. would be under the court at Raipur.
That the company shall not be responsible and liable for taking any sums on the name of the company by the distributor with another distributor on the basis of application of any sort of fraud, cheating, false statement etc.
That after going through all the averments as detailed under para 1 to 24 above and after reading all the terms and conditions, property reading these, got read from others, understood the contents of the agreement, the distributor as named below accepts all the terms and conditions with the company giving his/her consent as distributor and signs or affixes his / her thumb impression on the agreement before the following witnesses at Raipur on this -------------- date.
